1. Acceptance of Terms

These Terms of Service ("Terms") are a legally binding agreement between you and Progredi Systems LLC ("Progredi Systems," "we," "our," or "us") regarding your access to and use of the website at progredisys.com (the "Website"), and the products, features, content, and services we offer (collectively with the Website, the "Services"). By accessing or using any part of the Services, you agree to be bound by these Terms.

2. Changes to Terms

We may modify these Terms at any time, in our sole discretion. If we do, we will post the modified Terms on the Website. Your continued use of the Services after the modified Terms are posted means you accept the changes.

3. Description of Services

Progredi Systems engineers operational AI products and platform capabilities for enterprise and mission environments. Our flagship products include Intel Fusion (cyber threat intelligence) and Artifactry (the AI Artifact Workspace). Specific functionality is described elsewhere on the Website.

4. Your Use of the Services

By using our Services, you represent and warrant that:

• You have the legal authority to enter into these Terms on behalf of yourself or your organization.
• Your use of the Services will not violate any applicable law or regulation.
• You will provide accurate and complete information when required.

5. Account Registration

To access certain features, you may be required to register for an account. You agree to provide accurate, current, and complete information and to safeguard your credentials. You are responsible for all activity under your account.

6. Content and Intellectual Property

Our Content. All content, features, and functionality of the Services — including text, displays, images, software, design, and arrangement — are owned by Progredi Systems, its licensors, or other providers and are protected by United States and international intellectual property laws. These Terms permit you to use the Services for legitimate business purposes only.

Your Content. When you submit content to our Services, you grant Progredi Systems a worldwide, non-exclusive, royalty-free license (with the right to sublicense) to use, reproduce, process, and distribute the content as necessary to operate the Services. You represent that you own or control all rights to the content you submit.

7. Prohibited Uses

You may use the Services only for lawful purposes and in accordance with these Terms. You agree not to:

• Violate any applicable law or regulation.
• Send unsolicited promotional material or other prohibited communications.
• Impersonate Progredi Systems, our personnel, or any other person or entity.
• Interfere with or disrupt the operation of the Services.

8. Disclaimers and Limitation of Liability

Disclaimers. THE SERVICES AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. Progredi Systems does not warrant that the Services will be uninterrupted, secure, or error-free.

Limitation of Liability. TO THE FULLEST EXTENT PERMITTED BY LAW, PROGREDI SYSTEMS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICES. PROGREDI SYSTEMS' TOTAL LIABILITY WILL NOT EXCEED THE AMOUNT PAID BY YOU TO PROGREDI SYSTEMS DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY.

Performance Claims. Any statements regarding potential outcomes are estimates and depend on numerous factors including your specific environment, implementation approach, and external conditions. Such statements are for informational purposes only and do not constitute guarantees.

9. Compliance Disclaimer

Progredi Systems does not currently hold FedRAMP authorization, CMMC Level 2 or Level 3 certification, ITAR registration, or any facility security clearance. The platform is being designed to support future compliance with applicable frameworks. References to NIST SP 800-171 and CMMC Level 1 reflect our internal alignment and operational practices; they do not constitute third-party certification.

10. Indemnification

You agree to defend, indemnify, and hold harmless Progredi Systems and its affiliates, officers, directors, employees, contractors, and agents from any claims, liabilities, damages, costs, or fees (including reasonable attorneys' fees) arising from your violation of these Terms or your use of the Services.

11. Governing Law and Jurisdiction

These Terms are governed by the laws of the Commonwealth of Virginia, without regard to conflict of law principles. Any legal action arising out of these Terms shall be brought exclusively in the federal or state courts located in Virginia.

12. Waiver and Severability

No waiver by Progredi Systems of any term will be deemed a further or continuing waiver of that term or any other. If any provision of these Terms is held invalid or unenforceable, that provision will be eliminated or limited to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

13. Entire Agreement

These Terms constitute the entire agreement between you and Progredi Systems regarding the Services and supersede all prior or contemporaneous understandings.
